When we refer to "us," "we," "our," "the Company," or “Natural” we are describing Natural Gas Pipeline Company of America LLC.</font></p>

Funds managed by ArcLight Capital Partners, LLC and Kinder Morgan, Inc. (KMI) hold a 62.5% and 37.5% interest, respectively, in NGPL Holdings. KMI operates our assets pursuant to a 15-year amended Operations and Reimbursement Agreement with a primary term that expires in June 2038, and includes 5-year term extension rights.</font></p>

In management’s opinion, these financial statements reflect normal and recurring adjustments that are necessary for a fair presentation of our financial results for the interim periods presented, and adequate disclosures have been made to make the information presented not misleading.
